Welcome to GiveAnywhere Inc. (“GiveAnywhere,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and GiveAnywhere governing your access to and use of our websites, mobile applications, APIs, and related services (collectively, the “Services”).
By accessing or using the Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Description of Services
GiveAnywhere provides a cloud-based platform that enables:
- Nonprofits, organizations, and individuals (“Organizations”) to create, manage, and promote fundraising campaigns, events, subscriptions, and payment experiences.
- Donors, supporters, and customers (“Users”) to make donations, purchases, or other financial transactions.
- Integration with third-party financial service providers, including payment processors.
- AI-powered tools to assist with content generation, campaign management, and operational workflows.
GiveAnywhere is solely a technology service provider and does not operate as:
- A financial institution.
- A payment processor.
- A broker, agent, or fiduciary.
- A charitable organization.
2. Eligibility and Authority
By using the Services, you represent and warrant that:
- You are at least eighteen (18) years of age.
- You possess the legal authority to enter into binding agreements.
- If acting on behalf of an entity, you are authorized to bind that entity to these Terms.
- Your use of the Services complies with all applicable laws and regulations.
3. Account Registration and Security
Certain features of the Services require account registration. You agree to:
- Provide accurate, current, and complete information.
- Maintain and promptly update your information.
- Keep your login credentials secure and confidential.
You are solely responsible for:
- All activities conducted under your account.
- Any unauthorized use resulting from failure to safeguard credentials.
GiveAnywhere reserves the right to suspend or terminate accounts at its discretion.
4. Relationship of the Parties
GiveAnywhere provides a neutral technology platform connecting Users and Organizations. You acknowledge that:
- Transactions occur directly between Users and Organizations.
- GiveAnywhere does not endorse or guarantee any Organization or campaign.
- GiveAnywhere does not control how funds are used.
No agency, partnership, joint venture, or fiduciary relationship is created by these Terms.
5. Payments, Fees, and Financial Transactions
5.1 Third-Party Payment Processing
All financial transactions are processed through third-party providers (“Payment Processors”), including but not limited to Stripe and PayPal. By using the Services, you agree to:
- The terms and policies of the applicable Payment Processor.
- Any fees, settlement timelines, and processing requirements imposed by them.
GiveAnywhere is not responsible for the performance or availability of Payment Processors.
5.2 Fees and Charges
GiveAnywhere may charge:
- Platform usage fees.
- Subscription fees.
- Service fees.
- Optional donor-covered fees.
All applicable fees will be disclosed prior to transaction completion.
5.3 Refunds and Reversals
- Organizations are solely responsible for handling refunds.
- Donations are generally final and non-refundable unless required by law.
- Chargebacks and disputes are governed by the Payment Processor.
GiveAnywhere may provide assistance but is not obligated to resolve disputes.
5.4 Funds Flow and Custody Disclaimer
GiveAnywhere does not receive, hold, or control funds at any time. All payments:
- Flow directly from the User to the Organization via Payment Processors.
- Are deposited into accounts owned and controlled by Organizations.
Accordingly:
- GiveAnywhere is not a custodian of funds.
- GiveAnywhere is not a money transmitter.
- GiveAnywhere does not provide escrow or financial custody services.
5.5 Merchant of Record
Organizations are the merchant of record for all transactions unless otherwise explicitly stated. Organizations are responsible for:
- Compliance with applicable tax laws.
- Collection and remittance of taxes.
- Handling disputes, refunds, and chargebacks.
6. Donations and Transactions
Users acknowledge:
- Donations are voluntary and made at their own discretion.
- Tax deductibility depends on the Organization’s status.
- GiveAnywhere does not guarantee the legitimacy or effectiveness of any campaign.
Users are responsible for conducting their own due diligence.
7. Organization Obligations
Organizations agree to:
- Use funds solely for stated purposes.
- Comply with all applicable fundraising, tax, and financial regulations.
- Provide truthful and accurate information.
- Maintain all required licenses or nonprofit status.
GiveAnywhere reserves the right to:
- Monitor campaigns.
- Remove or suspend campaigns.
- Restrict access based on risk or compliance concerns.
8. Prohibited Uses
You agree not to:
- Engage in fraudulent, deceptive, or illegal activity.
- Misrepresent identity, affiliation, or purpose.
- Circumvent platform fees or controls.
- Introduce malware or disrupt Services.
- Violate intellectual property rights.
9. AI-Powered Features
The Services may include AI-generated content and automation tools. You acknowledge:
- AI outputs may be inaccurate or incomplete.
- You are responsible for reviewing and validating all outputs.
- GiveAnywhere disclaims liability for reliance on AI-generated content.
10. Intellectual Property Rights
All intellectual property in the Services is owned by GiveAnywhere or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services. You may not:
- Copy, modify, or distribute platform content.
- Reverse engineer or exploit the Services.
11. User Content
You retain ownership of your content but grant GiveAnywhere a worldwide, royalty-free license to:
- Use, host, display, and distribute such content.
You represent that your content:
- Is lawful.
- Does not infringe third-party rights.
12. Privacy and Data Use
Your use of the Services is subject to our Privacy Policy. We may:
- Collect and process personal data.
- Share data with service providers.
- Comply with legal obligations.
13. Third-Party Integrations
The Services may include integrations with third parties. GiveAnywhere is not responsible for:
- Third-party services.
- Their availability, performance, or policies.
14. Suspension and Termination
We may suspend or terminate access:
- For violations of these Terms.
- For fraud or suspicious activity.
- To comply with legal or regulatory obligations.
15. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” GiveAnywhere disclaims all warranties, including:
- Merchantability.
- Fitness for a particular purpose.
- Non-infringement.
16. Limitation of Liability
To the maximum extent permitted by law: GiveAnywhere shall not be liable for:
- Indirect, incidental, or consequential damages.
- Loss of revenue, profits, or data.
- Actions of Users, Organizations, or Payment Processors.
Total liability shall not exceed the greater of:
- Amounts paid to GiveAnywhere in the prior 12 months, or
- $100 USD.
17. Indemnification
You agree to indemnify and hold harmless GiveAnywhere from claims arising from:
- Your use of the Services.
- Violations of these Terms.
- Your content or activities.
18. Compliance and Regulatory Obligations
GiveAnywhere may:
- Perform identity verification (KYC).
- Monitor transactions for fraud and AML compliance.
- Report suspicious activity to authorities.
19. Governing Law
These Terms are governed by the laws of the State of California.
20. Dispute Resolution and Arbitration
All disputes shall be resolved through binding arbitration in California. You waive:
- The right to a jury trial.
- The right to participate in class actions.
21. Modifications to Terms
We may update these Terms at any time. Your continued use constitutes acceptance.
